The Securities Prospectus contains all the necessary information about the issuer and is intended to assist the investor in its investment decision. The required content is stipulated by the Securities Prospectus Act (WpPG) and the corresponding prospectus directive. Audit of the IPO Prospectus by the Financial Services Authority
The prospectus is usually drawn up by lawyers in collaboration with the issuer, the consortium of banks and the auditor. The subsequent prospectus approval procedure at the Federal Financial Supervisory Authority (Bundesanstalt für Finanzdienstleistungsaufsicht, BaFin) is assumed by the lawyer on behalf of the issuer. In practice, billing periods of approximately six to eight weeks have established themselves as “standard.” Within this period, the subsequent steps can be prepared or carried out.

An important aspect is the so-called “prospectus liability.” Accordingly, the Securities Prospectus constitutes the liability for the issuing company. All information contained in the prospectus must be true. As a rule, no forward-looking statements such as forecasts are included in the prospectus; particular space is given to possible risks associated with investing in the securities.
